CONDITIONS OF SALE

X.Light provides a complete range of registered products that are distributed exclusively by SeeD diffusion through the Mission® brand.
Any unauthorized reproduction of all or part of this material is liable to prosecution for infringement.
All items included in the catalogue (displays, photos, logos) remain the exclusive property of Mission. Any unauthorized reproduction is strictly prohibited. All prices apply until March 31th 2025 and displayed excluding VAT. As a result, the current VAT rates apply. Prices exclude shipment costs.

RENTAL CONDITIONS

1-BACKGROUND

All rentals or orders submitted by a customer to SeeD diffusion imply total and unconditional acceptance of the present "Conditions of rental of mobile display equipment".

2-RESERVATION, PLACING AN ORDER

The 7-day Event Package includes equipment-shipping fees, rental fees all over the event period, as well item return shipping fees.
After sending us your request, we will send you a quote to sign and return to the service provider with the statement "valid for agreement" along with the acceptance of these terms and conditions.
All orders shall be confirmed by the service provider in order to be processed.
Rental offers are available as long as stocks last.

3-DELIVERY, RETURN, PACKAGING

Delivery takes place as indicated on the quote, at the delivery location to be agreed with the Customer. The Customer shall take responsibility for inspecting the equipment good condition upon receipt, and for signing the delivery note.
We deliver all equipment in custom crates on wheels, and the same packaging shall be used for returning the items.
Equipment shall be returned at the specified date at the place agreed with the customer.
In the absence of any reserves issued upon delivery or return, the equipment shall remain in its original condition.
The service provider shall verify the returned material upon return.
Upon completion of the return process, if the service provider notices a malfunction or damage to the rental equipment, the customer shall assume all refurbishment costs.
The service provider cannot be held liable for any late delivery, due to an incorrect or incomplete information mentioned on the approved quotation.
The customer hereby commits to returning the equipment in its original packaging on the due date of return, which appears in the approved quotation.

4-COMPLIANCE WITH STANDARDS AND PROCEDURES

The customer hereby commits to:

• Use all rental equipment in compliance with its primary purpose, and refrain from taking any action that may damage such equipment, so that it can be returned in its original good condition of use and cleanliness.
• Complying with all rental equipment standards and procedures.
• Refraining to modify or repair the equipment whatsoever.

5-RESPONSIBILITY

From the date of its availability, delivery or receipt, the customer shall have sole custody of the rental equipment and be solely liable for any theft, loss, damage or injury to such equipment, applying until its return date to the service provider
The Service Provider shall not be liable for any damage or loss of such equipment within this period.
The customer hereby commits to perform maintenance and supervision on the installation site all over the period of rental, i.e. from delivery date and until return delivery of such equipment.

6-REFURBISHMENT COSTS

In any case, any refurbishment, cleaning or maintenance costs resulting from improper use and which are necessary for the reuse of such equipment shall be invoiced to the customer as an extra fee.
In the event that the rental equipment cannot be repaired or returned, it shall be invoiced to Customer based on its current market price.

7-INSURANCE

The customer hereby certifies to be covered by a professional and operational civil liability insurance policy. Such insurance shall cover any liability incurred by any person authorized by the customer to use the rental equipment.

8- X.LIGHT FURNITURE (subject to availability)

X.Light furniture is a duly registered equipment range of the Mission brand.
All colors, images, graphics and digital representations displayed on this site or in the catalogue shall have no contractual value. The customer hereby confirms to order in full awareness of the above-mentioned terms.

9-PRICES AND PAYMENT TERMS

All rental prices are given in euros excluding tax. The applicable tax rate shall comply with the applicable regulations at the time of order confirmation. All orders are payable in euros, regardless of the customer's delivery address. The service provider shall be sole responsible for fixing prices, which may vary at any time without affecting pending orders.
Payment is due by bank transfer no later than 30 days after delivery of the equipment.
In case of late payment, a penalty of three times the legal interest rate (applicable from the invoice date) shall apply.
A flat-rate compensation for collection costs of €40 applies to professionals, in addition to the late-payment fees.

10-PROPERTY

10.1. PROPERTY

The rental equipment remains the sole property of the service provider. Nevertheless, a transfer of risk occurs from the order acceptance date by the customer, until the date of equipment return. Thus, the customer shall be held liable for inspecting the equipment in the presence of the carrier and to make any necessary reserve in case of damage.
The customer agrees to refrain from transferring, renting or leasing the rental equipment.

10.2 INTELLECTUAL PROPERTY

All equipment intellectual property rights, both in terms of design and conception, remain the property of the Mission brand. Any attempt to reproduce all or part of the equipment is strictly prohibited.
